By accessing or using the EcoLite Vendor Portal at portal.ecoliteled.lighting (the "Portal"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Portal.
The Portal is an invite-only platform. Access is granted at EcoLite's sole discretion and may be revoked at any time.
You must be an authorized vendor, partner, employee, or contractor of EcoLite Holdings, LLC to use the Portal. Access is granted through Cloudflare Access using email-based OTP or Google SSO. Only email addresses on our authorized list can authenticate.
You are responsible for maintaining the security of your authentication credentials and for all activities under your account. You must not share access credentials or allow unauthorized users to access the Portal.

You agree to use the Portal only for legitimate business purposes related to selling, specifying, or supporting EcoLite products. You agree not to:
The Portal includes an AI assistant powered by third-party models (Anthropic Claude, OpenRouter). When you upload documents for analysis:
All content in the Portal — including product data, specifications, images, pricing, catalog structure, CRM data, software, and AI-generated analysis — is the property of EcoLite Holdings, LLC or its licensors and is protected by U.S. and international intellectual property laws.
You may use Portal data and outputs (quotes, proposals) solely for the purpose of selling or specifying EcoLite products to your customers. You may not republish, redistribute, or use Portal data for competitive purposes.
Quotes generated through the Portal are estimates based on catalog data and the information you enter. They are not binding offers. Final pricing, availability, and terms are confirmed only in a formal quote or purchase order issued by an authorized EcoLite representative.
Pricing data visible in the Portal may include cost and margin information for administrative users. This data is confidential and must not be shared with customers or external parties.
Your use of the Portal is governed by our Privacy Policy. By using the Portal, you consent to the data practices described therein, including the processing of uploaded documents by third-party AI services.
The Portal enforces tenant-level data isolation. Each vendor/brand has a separate Durable Object instance. Cross-tenant data access is technically prevented. Brand-locked users can only access data within their assigned brand.
The Portal is provided "as is" without warranties of any kind. We do not warrant that the Portal will be uninterrupted, error-free, or secure. AI-generated analysis may contain errors and should not be relied upon without human verification.
To the maximum extent permitted by law, EcoLite Holdings, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Portal, including but not limited to errors in AI-generated analysis, pricing discrepancies, or data loss.
EcoLite may terminate or suspend access at any time, with or without cause. Upon termination, all data associated with your account (sessions, quotes, customer records) will be deleted within 24 hours, except where retention is required by law or for ongoing project support.
You agree to indemnify and hold harmless EcoLite Holdings, LLC from any claims arising from your misuse of the Portal, unauthorized sharing of data, or violation of these Terms.
These Terms are governed by the laws of the State of Louisiana. Any dispute shall be resolved in the state or federal courts located in Baton Rouge, Louisiana.
We may modify these Terms at any time. The "Last updated" date reflects the most recent revision. Continued use of the Portal after changes constitutes acceptance.
